1. Introduction & Acceptance

Welcome to CortexaPro AI. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree with any part of these Terms, you may not access or use our services.

CortexaPro AI is an artificial intelligence platform that enables users to build, deploy, and operate AI agents, generate content and artifacts, connect data sources, and automate workflows.

These Terms govern your use of all features including but not limited to: AI Ops, AI Studio, AI Agents, Knowledge Base, APIs, Chatbot Embeds, Execution Pipelines, and Integrations.

2. Account Registration & Security

• You must provide accurate and complete information during registration
• You are responsible for maintaining the confidentiality of your account and credentials
• You are responsible for all activities conducted under your account, including those by team members
• Organizations and account owners are responsible for managing user roles, permissions, and access
• You must notify us immediately of any unauthorized access or security breach
• Users are expected to maintain only one free-tier account. Creating multiple accounts to bypass usage limits or credits is not permitted and may result in account restrictions.
• You must be at least 18 years old to use the Services

3. Billing, Credits & Payments

• Subscription Plans & Pricing: CortexaPro AI offers subscription plans with monthly or annual billing options. Plan features, pricing, and availability may vary based on location and currency. Annual plans may be offered at discounted rates. CortexaPro AI reserves the right to update pricing, plan structures, or features at any time
• Credit-Based System: The platform operates on a credit-based system. Credits are consumed when you perform actions on the platform, including AI agent execution, workflow execution, content and image generation, project artifact generation, and other actions performed on the platform

  Types of Credits:

  • Subscription Credits: Included with your plan and allocated at the beginning of each billing cycle. These remain valid for up to three (3) billing cycles (including the cycle of allocation), after which they expire.
  • Purchased Credits: Bought separately through top-ups and do not expire unless otherwise specified.
• Credit Usage & Exhaustion: Credit consumption depends on the type and complexity of actions performed. If available credits are exhausted, access to AI-powered features and operations may be temporarily paused until additional credits are available
• Billing Cycle & Auto-Renewal: Subscriptions are billed on a recurring basis (monthly or annually) and renew automatically at the end of each billing cycle unless canceled prior to renewal
• Subscription Management: You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing cycle. To avoid renewal charges for the next billing period, cancellation must be completed before the end of the current billing cycle.

  Plan upgrades take effect immediately upon confirmation and are subject to prorated billing adjustments. If you upgrade your subscription before the end of your current billing cycle, the remaining duration of your current billing cycle will be considered for prorated billing adjustments toward the upgraded plan, and you will be charged the difference for the remainder of the billing cycle. Upon upgrade, credits will be aligned with the upgraded plan's allocation, and credits from the previous plan do not carry over or accumulate with credits from the upgraded plan.

  Downgrades to lower-tier plans during an active billing cycle are not supported. You may switch to a lower-tier plan at the end of your current billing cycle by canceling your current subscription and selecting a new plan thereafter.

• Payment Methods: Payments are processed through secure third-party providers, including Razorpay (for INR payments via UPI, cards, net banking, wallets, and other supported methods as made available) and PayPal (for international transactions and supported currencies). All transactions are processed through PCI-DSS compliant payment gateways. CortexaPro AI does not store complete payment card details
• Invoices & Billing: Your billing cycle begins on the date of subscription. Invoices are generated automatically and made available within your account. Billing disputes must be raised within thirty (30) days from the date of invoice
• Failed Payments: If a payment fails, retry attempts may be made automatically by payment providers where supported. You may receive notifications from the payment provider regarding failed payment attempts. Continued failure to process payment may result in temporary suspension of access to the platform. Following suspension, your data may be retained for a limited period for operational or legal purposes, after which it may be permanently deleted. Access to the platform may be restored once outstanding payments are successfully completed, where applicable
• Refunds: All payments are non-refundable. Subscription fees, purchased credits, and unused credits are non-refundable and non-transferable. Any exceptions are at the sole discretion of CortexaPro AI. In the event of service issues caused by CortexaPro AI, credits may be restored where applicable
• Taxes: Prices may exclude applicable taxes, which will be applied at checkout where required

4. Data Usage & Privacy

• Your Data: You retain ownership of all data, content, and materials you upload to the platform
• Data Processing: We process your data solely to provide and operate our services. We do not use your data to train general AI models unless explicitly stated
• Data Storage & Security: Your data is stored securely within our cloud infrastructure. We implement appropriate security measures, including encryption in transit and at rest
• Data Retention & Deletion: Upon account termination, your data may be retained for a limited period for operational or legal purposes, after which it may be permanently deleted
• Third-Party AI & Services: The platform relies on third-party infrastructure and AI providers, which may process data under their own policies. CortexaPro AI is not responsible for the performance, availability, outputs, or any disruptions, inaccuracies, or issues arising from such third-party providers
• Monitoring: We may monitor usage of the platform to ensure compliance with these Terms and maintain system integrity

5. Acceptable Use Policy

You agree NOT to use CortexaPro AI to:

• Generate illegal, harmful, abusive, or discriminatory content
• Engage in fraud, impersonation, or deceptive practices
• Violate laws, regulations, or third-party rights
• Upload or process data without proper authorization
• Attempt to reverse-engineer, disrupt, or exploit the platform
• Build or deploy agents for harmful or unauthorized activities
• Distribute malware, spam, or phishing content
• Infringe intellectual property rights

6. AI Agents, Outputs & Responsibility

• Outputs generated through the platform are produced by artificial intelligence systems
• You are solely responsible for the design, configuration, deployment, and use of AI agents
• You are responsible for all outputs generated and how they are used
• You are solely responsible for any decisions, actions, or outcomes resulting from the use of outputs generated through the platform
• If you deploy agents via APIs, embeds, or external interfaces, you are responsible for end-user interactions and disclosures
• Outputs may contain errors, omissions, or biases
• Outputs are provided "as is" without warranties of any kind
• CortexaPro AI does not guarantee the accuracy, completeness, or reliability of outputs
• You must review, validate, and approve all outputs before using them for business, legal, or operational purposes
• You agree not to use the platform or its outputs for unlawful, harmful, misleading, or abusive purposes

7. Intellectual Property

• All rights, title, and interest in the platform, including its software, architecture, and underlying technology, remain the exclusive property of CortexaPro AI
• Users retain ownership of the data, inputs, and content they provide to the platform
• Subject to applicable law, users retain rights to outputs generated through the platform; however, CortexaPro AI does not guarantee exclusivity or originality of such outputs
• By using the platform, you grant CortexaPro AI a limited, non-exclusive license to process and use your data solely for the purpose of providing and improving the Services

8. Limitation of Liability

To the maximum extent permitted by law:

• The Services are provided on an "as is" and "as available" basis without warranties of any kind
• CortexaPro AI does not guarantee uninterrupted or error-free operation and shall not be liable for downtime or service disruptions
• CortexaPro AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes loss of profits, data, business interruption, or other intangible losses
• Use of the platform and outputs is at your own risk
• Our total liability shall not exceed the amount paid by you in the twelve (12) months preceding the claim

9. Indemnification

You agree to indemnify, defend, and hold harmless CortexaPro AI, its affiliates, officers, and employees from and against any claims, liabilities, damages, losses, or expenses arising out of or related to:

• Your use or misuse of the platform
• Any content, data, or outputs generated or deployed by you
• Your violation of applicable laws or third-party rights

10. Governing Law & Jurisdiction

• These Terms shall be governed by and construed in accordance with the laws of India
• Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts located in Chennai, India

11. Force Majeure

• CortexaPro AI shall not be held liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to natural disasters, acts of government, internet outages, cloud service failures, or other force majeure events

12. Termination

• You may cancel your subscription at any time through your account settings
• We may temporarily lock or permanently suspend accounts that violate these Terms or involve abusive usage
• Temporarily locked accounts may be reactivated after the issue is resolved through a reactivation process
• Access to the platform and associated data may be restricted or unavailable upon suspension or termination
• Data may be retained for a limited period for operational or legal purposes, after which it may be permanently deleted
• Service Discontinuation: CortexaPro AI reserves the right to suspend or discontinue the platform or any part of the Services at any time. Where reasonably practicable, we will provide advance notice of at least sixty (60) days prior to such discontinuation. During the notice period, users may access and export their data. Following discontinuation, data may be retained for a limited period and may be permanently deleted thereafter

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through the platform. Continued use of the Services after such changes constitutes acceptance of the updated Terms.
